1 Acceptance of Terms

By accessing or using the POS Pro web platform, desktop application, or any related services (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you are entering into these Terms on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must immediately cease using the Services. Your continued use of the Services constitutes ongoing acceptance of these Terms and any future amendments.

2 Definitions

"Platform" — The POS Pro web application accessible at our website, used for account management, licensing, subscription management, and support.
"Desktop App" — The POS Pro desktop application that is downloaded and installed on a User's device for point-of-sale operations.
"License Key" — A unique alphanumeric code issued to a User that authorizes the use of the Desktop App on a specific device.
"Subscription" — A paid plan that grants the User access to specific features of the Services for a defined billing period (monthly or yearly).
"User" — Any individual or business entity that registers for an account and uses the Services.
"Device" — A computer or other hardware on which the Desktop App is installed and activated.
"Machine Fingerprint" — A unique identifier generated from a Device's hardware components, used to bind a License Key to a specific Device.

3 Account Registration

3.1 Registration Requirements

To use the Services, you must register for an account by providing accurate, complete, and current information, including your full name, email address, phone number, company name, and city. You agree to update your account information promptly if it changes.

3.2 One Account Per Entity

Each business entity or individual may maintain only one account. Creating multiple accounts to circumvent plan limitations, abuse trial offers, or for any other deceptive purpose is strictly prohibited and may result in immediate termination of all associated accounts.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at support@pospro.sa if you suspect any unauthorized access to or use of your account.

4 Subscription Plans & Billing

4.1 Plan Tiers

POS Pro offers the following subscription plans, each with different feature sets and usage limits:

Basic

For small shops and startups

Professional

For growing businesses

Enterprise

For large & multi-branch operations

4.2 Billing Cycles

Subscriptions are available on monthly or yearly billing cycles. Yearly subscriptions are offered at a discounted rate. Billing begins on the date of your initial subscription and recurs on the same date each billing period.

4.3 Auto-Renewal

All subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date. You can manage your subscription and turn off auto-renewal through your account dashboard. Cancellation must be completed before the start of the next billing cycle to avoid being charged for the upcoming period.

4.4 Price Changes

We reserve the right to change subscription prices. Any price increase will be communicated to you at least 30 days before it takes effect. The new price will apply at the start of your next billing cycle following the notice period. If you do not agree with the price change, you may cancel your subscription before the new price takes effect.

4.5 Refund Policy

Subscription fees are non-refundable for partial billing periods. If you cancel mid-cycle, you will retain access to the Services until the end of the current billing period, but no pro-rated refund will be issued. New subscribers are eligible for a 30-day money-back guarantee on their first subscription payment.

4.6 Late Payment

If payment fails or is overdue, we will attempt to notify you and retry the payment. If payment remains outstanding for more than 7 days, we reserve the right to suspend your access to the Services. Your data will be retained during the suspension period. Access will be restored upon successful payment of all outstanding amounts.

5 License Keys & Activation

5.1 Device Binding

Each License Key is bound to a single Device through its Machine Fingerprint. Once activated, a License Key cannot be used on a different Device unless the binding is released. This ensures license integrity and prevents unauthorized use.

5.2 Restrictions

You agree not to:

  • Share License Keys with third parties
  • Transfer or resell License Keys
  • Use a single License Key on multiple Devices simultaneously
  • Attempt to generate, forge, or duplicate License Keys

5.3 Device Unlinking

Device unlinking (releasing a License Key from a Device) can only be performed by an administrator through the Platform dashboard or by contacting our support team. This restriction is in place to prevent abuse and unauthorized transfers.

5.4 Free Trial

We offer a 7-day free trial of the Professional plan. Trial terms:

  • One trial per User (determined by account and device)
  • Includes full Professional plan features
  • Limited to a single Device
  • No credit card required to start
  • Automatically expires after 7 days unless converted to a paid subscription

5.5 Offline Grace Period

The Desktop App requires periodic online validation of your license. In the event of an internet outage, the Desktop App will continue to function for a grace period of 3 days without contacting our license servers. After this grace period, the Desktop App will require a successful online validation to continue operating.

5.6 Anti-Tampering

Any attempt to tamper with, bypass, or circumvent the license validation system will result in immediate and permanent termination of your account and all associated License Keys, without refund. This includes, but is not limited to, modifying application binaries, intercepting validation requests, spoofing Machine Fingerprints, or using cracked or patched versions of the software.

6 Desktop Application

6.1 License Grant

Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Desktop App. This is a license to use the software, not a transfer of ownership. All rights not expressly granted are reserved by POS Pro.

6.2 Restrictions

You shall not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Desktop App
  • Modify, adapt, translate, or create derivative works based on the Desktop App
  • Copy, redistribute, sublicense, rent, lease, or lend the Desktop App to any third party
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices in the Desktop App

6.3 Updates

The Desktop App may periodically check for and download updates. These updates may include bug fixes, feature enhancements, security patches, and compatibility improvements. While updates are generally optional, certain critical security updates may be required to continue using the Services.

6.4 System Requirements

You are responsible for ensuring that your Device meets the minimum system requirements for the Desktop App. We are not responsible for performance issues caused by inadequate hardware, incompatible software, or unsupported operating systems.

7 Data & Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data. The Privacy Policy is incorporated into these Terms by reference.

You acknowledge that the Desktop App collects certain device data (including Machine Fingerprints and IP addresses) and usage data (including activation events and heartbeat logs) necessary for license management and service operation.

8 ZATCA Compliance Disclaimer

Important Disclaimer

While POS Pro includes features designed to assist with compliance with the Zakat, Tax and Customs Authority (ZATCA) regulations, including e-invoicing and QR code generation, please note the following:

  • User Responsibility: You are solely responsible for the correct configuration of tax settings, tax rates, business information, and all data entered into the system. POS Pro provides the tools, but the accuracy of your ZATCA compliance depends on correct setup and usage.
  • Not Professional Advice: The Services are not a substitute for professional tax, legal, or accounting advice. You should consult qualified professionals for guidance on your specific ZATCA compliance obligations.
  • No Liability for Penalties: POS Pro shall not be held liable for any fines, penalties, or sanctions imposed by ZATCA or any other authority resulting from incorrect configuration, misuse, or failure to properly use the compliance features provided.

9 Intellectual Property

All intellectual property rights in the Services, including but not limited to the Platform, Desktop App, documentation, logos, trademarks, trade names, source code, algorithms, user interface designs, and all content created by POS Pro, are and shall remain the exclusive property of POS Pro and its licensors.

You may not use the POS Pro name, logo, or any associated branding in any manner without prior written consent from POS Pro, except as reasonably necessary to identify POS Pro as the provider of the software you use.

You retain all rights to the data you enter into the Services. We claim no ownership over your business data, customer records, or transaction history.

10 Prohibited Uses

You agree not to use the Services to:

Engage in any activity that violates applicable laws or regulations, including Saudi Arabian law
Circumvent, disable, or interfere with license restrictions or security features
Conduct automated scraping, crawling, or attacks on our API or Platform
Share your account credentials with unauthorized individuals
Use the Services to develop a competing product or service, or for competitive analysis
Introduce viruses, malware, or other harmful code into the Services
Impersonate another person or entity, or falsify your identity or affiliation

11 Service Level

11.1 Uptime Target

We target 99.9% uptime for our API and Platform services, measured on a monthly basis. This target excludes scheduled maintenance windows and circumstances beyond our reasonable control.

11.2 Scheduled Maintenance

We will provide reasonable advance notice (typically 48 hours) for scheduled maintenance that may affect service availability. Whenever possible, maintenance will be scheduled during off-peak hours.

11.3 Internet-Dependent Features

Certain features of the Services require an active internet connection. We do not guarantee the availability or performance of features that depend on third-party services, internet connectivity, or infrastructure outside our control.

12 Limitation of Liability

12.1 Maximum Liability

To the maximum extent permitted by applicable law, the total aggregate liability of POS Pro for all claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to POS Pro during the 12 months immediately preceding the event giving rise to the claim.

12.2 Exclusion of Damages

In no event shall POS Pro be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, even if POS Pro has been advised of the possibility of such damages.

12.3 Data Loss

POS Pro shall not be liable for any loss of data. You are solely responsible for maintaining backup copies of your business data. We strongly recommend implementing a regular backup strategy for all critical data stored in the Desktop App.

12.4 Force Majeure

POS Pro shall not be liable for any failure or delay in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, pandemics, power outages, internet disruptions, cyberattacks, or acts of third parties.

13 Termination

13.1 Termination by You

You may cancel your subscription and terminate your account at any time through your account dashboard or by contacting our support team. Cancellation will take effect at the end of your current billing cycle.

13.2 Termination by POS Pro

We may suspend or terminate your account immediately and without prior notice if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. For less severe violations, we will provide notice and a reasonable opportunity to cure the violation before termination.

13.3 Effect of Termination

Upon termination:

  • Your access to the Platform and Desktop App will be revoked immediately
  • All License Keys associated with your account will be deactivated
  • Your data will be retained for 30 days after termination, during which you may request a data export
  • After the 30-day retention period, your data will be permanently deleted

13.4 Surviving Obligations

Any outstanding payment obligations, confidentiality obligations, limitation of liability provisions, and dispute resolution provisions shall survive termination of these Terms.

14 Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.

14.2 Mediation

Before initiating any formal legal proceedings, both parties agree to first attempt to resolve any dispute through good-faith mediation. Either party may initiate mediation by providing written notice to the other party. The mediation shall be conducted in Riyadh, Saudi Arabia.

14.3 Jurisdiction

If mediation fails to resolve the dispute within 30 days, the dispute shall be submitted to the competent courts in Riyadh, Kingdom of Saudi Arabia, which shall have exclusive jurisdiction over any disputes arising out of or related to these Terms.

15 Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' notice via email and through a prominent notice on the Platform. The updated Terms will include a revised "Last Updated" date.

Your continued use of the Services after the effective date of the modified Terms constitutes your acceptance of the changes. If you do not agree with the modified Terms, you must stop using the Services and cancel your subscription before the changes take effect.

16 General Provisions

16.1 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16.2 Entire Agreement

These Terms, together with the Privacy Policy and any applicable subscription order, constitute the entire agreement between you and POS Pro regarding the Services. These Terms supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.

16.3 Waiver

The failure of POS Pro to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of POS Pro.

16.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of POS Pro. POS Pro may assign these Terms freely in connection with a merger, acquisition, or sale of assets.
